License Agreement for Yandex.Connect

This document is a translation of Terms of Use of Yandex.Connect in English. In case of conflict between the Russian version of Terms of Use of Yandex.Connect and this translation - only the Russian version of Terms of Use of Yandex.Connect is legally binding. Before using the program, please read the terms and conditions of the below license agreement.

Any use of the program means that you fully and unconditionally accept the terms and conditions of this license agreement.

If you do not accept the license agreement in full, you may not use the program for any purpose.

1. General Provisions

1.1. This License Agreement (hereinafter referred to as the License) sets the terms of use of Yandex.Connect (hereinafter referred to as the Program) and is signed with any person using the Program (hereinafter referred to as the Licensee) and YANDEX LLC, 16 Leo Tolstoy St., Moscow, 119021, Russia, being a holder of the exclusive right to the Program (hereinafter referred to as the Rightholder).

1.2. By copying the Program, installing it on its equipment or using the Program in any way, the Licensee expresses its full and unconditional consent to all terms and conditions of the License.

1.3. The Program is permitted to be used only under the terms and conditions of this License. If the Licensee does not accept the terms and conditions of the License in full, the Licensee may not use the Program for any purpose. The Program is prohibited to be used in violation of (failing to fulfil) any of the terms and conditions of the License.

1.4. When using the Program, the Licensee agrees that the following documents, the terms whereof fully apply to the use of the Program to the extent provisions of the said documents do not contravene this License, form an integral part of this License:

The said documents (inter alia, any parts thereof) can be unilaterally amended by the Rightholder without any special notice; new versions of the documents shall come into effect upon their publication, unless otherwise stipulated by the new versions.

1.5. This License and all relations associated with the use of the Program shall be subject to law of the Russian Federation, and any claims or actions arising out of this License or the use of the Program shall be submitted to and reviewed by courts in the Rightholder’s location.

1.6. The Rightholder can provide the Licensee with a translation of this License from Russian into other languages; however, in the event of a conflict between the License in Russian and its translation, only the Russian version of the License shall be legally binding.

1.7. Terms and Definitions:

1.7.1. The Address is an e-mail address in the Licensee’s Domain;

1.7.2. The Mail System is a system allowing for an access to the mailbox and work with e-mail for Addresses in the Licensee's Domain;

1.7.3. The Address User is a person registered with the Rightholder’s services using the Program with Address indication;

1.7.4. The Address User’s Account is an account of the person using the Address in the Rightholder’s services and stores information (including username and password) for access to the Address;

1.7.5. The Yandex.Mail is the Rightholder’s service for ensuring the e-mail functionality, particularly, enabling the users to send, receive and store messages, as well as maintain an address book;

1.7.6. The Licensee’s Domain is a domain name registered for the Licensee or available for the Licensee's control on other grounds;

1.7.7. The Yandex.Disk is the Rightholder’s service ensuring the allocation of files (hereinafter referred to as the files or the data) in the disk space of the Rightholder’s servers, the storage of files in the said space, the synchronization of files with the Yandex.Disk Service users’ devices, the scrolling, edition and deletion of files, the management of third parties’ access to them, the provision upon the Yandex.Disk users’ decision of an access to the data allocated, as well as the use of the Yandex.Disk Service otherwise.

1.7.8. The Wiki is the Rightholder’s service that enables joint work with text and graphic materials, including but not limited to providing the Address Users and Users with the possibility to create, view, edit and store them in the Yandex servers’ disk space and manage third parties’ access to them.

1.7.9. The Tracker is the Rightholder’s service which allows the Address Users and Users to create tasks (hereinafter referred to as the Tickets) to be executed by other Address Users or jointly executed by the Addresses Users and Users, edit them, manage third parties’ rights to access to them, set up work with tickets, but is not limited to this.

1.7.10. The Yandex.Overload is the Rightholder’s service which allows the Address Users and Users to process results of load tests, view results of load tests, including information about test configuration files, test requests, if they are given in the configuration file.

1.7.11. The Organization is an organization or a community, created in the Program by the Licensee, and available for managing by the Licensee in the Program.

1.7.12. The User is a person that has a Yandex account and is not the Address User, to whom the Licensee has granted the access to the Organization.

1.7.13. The Yandex.Forms is a service of the Rightholder that allows the Licensee, Address Users and Users to conduct marketing research, collect applications and feedback about goods and/or services through the creation and publication of audience surveys on the Internet (hereinafter the “Forms”).

1.8. The Program provides the Licensee with functional possibilities to arrange work with the Addresses in the Licensee’s Domain using the Yandex.Mail service’s functionality, Yandex.Disk service’s functional possibilities as well as other functional possibilities in accordance with the procedure and under the terms and conditions established by this License and documents specified in clause 1.4 of this License.

1.9. By using the Program, the Licensee, the Address User and the User give their consent to receive advertising messages. The Licensee, the Address User and the User may refuse to receive advertising messages by using the relevant functionality of the Program or following instructions specified in the received advertising message.

2. Rights to the Program

2.1. The exclusive right to the Program is vested in the Rightholder.

3. License

3.1. The Rightholder shall, free of charge and under an ordinary (non-exclusive) license, grant to the Licensee the non-transferable right to use the Program in all countries of the world by using the Program as intended within the limits stipulated by this License as well as documents specified in clause 1.4 of this License, to reproduce the Program, and distribute the Program for non-commercial purposes (free of charge).

4. Limitations

4.1. Except as used in the scope and in the ways expressly stipulated by this License or laws of the Russian Federation, the Licensee may not modify, decompile, disassemble, decrypt and perform any other actions with the object code of the Program meant to obtain information on the implementation of algorithms used in the Program, create derivative works using the Program and otherwise use (allow to use) the Program without the Rightholder’s written consent.

4.2. The Licensee may not reproduce and distribute the Program for commercial purposes (inter alia, for a fee), inter alia, as part of software product collections, without the Rightholder’s written consent.

4.3. The Licensee may not distribute the Program in any form other than the form received, without the Rightholder’s written consent.

4.4. The Program shall be used (inter alia, be distributed) under the name: Yandex.Connect. The Licensee may not change the name of the Program, change and/or delete the copyright notice or other references to the Rightholder.

4.5. The Licensee, the Address Users and the Users using the Program’s services, including the Yandex.Disk, Wiki, Tracker and Yandex.Forms services, shall individually determine the way of using the services and shall be liable for their use. The Address Users and the Users using the Yandex.Disk, Wiki, Tracker and Yandex.Forms services shall be liable for compliance of any content placed by the Address Users and the Users with the applicable legislation, including rules of international law, and shall be liable to third parties if the content placement by the Address Users and the Users violates third parties’ rights and legal interests.

4.6. When using the Yandex.Disk, Wiki, Tracker and Yandex.Forms services, the Address User and/or the User shall refrain from placing such data and performing such actions, placement and performance of which are prohibited by the User Agreement for Yandex Services.

4.7. The Rightholder has the right to block access to any content placed by the Address User and/or the User or delete it.

5. Terms of Using Certain Functions of the Program

5.1. Some functions of the Program can only be performed with access to the Internet. The Licensee shall independently receive and pay for such access under terms and as per tariffs of its telecom or Internet provider.

5.2. After registration, the Address User shall be able to use the e-mail functions and functions offered by other Rightholder’s services under the terms and conditions of using the respective service and the User Agreement for Rightholder’s Services.

5.3. Some Rightholder's services and/or certain functions thereof may be unavailable to the Address User, for example: registration with Yandex.Direct service (placement of advertising campaigns and ads); registration with Yandex.Market service (placement of product offers); registration with Yandex.Money service (opening of an account); using of the Program. Any other services and/or certain functions thereof may be unavailable to the Address User; the Rightholder may, at its own discretion, modify or supplement the list of services and/or certain functions thereof unavailable to the Address User at any time and without prior notification.

5.4. By using the technical possibilities of Yandex.Mail, the Licensee creates Accounts for Addresses in Yandex.Mail, independently manages (within the limits of the technical capabilities of the Program and based on the requirements provided for in this License or documents stipulated by clause 1.4 of this Licensee) the Accounts of such Addresses, inter alia, creates, deletes and modifies them at its own discretion.

5.5. The Licensee may not use the Program for arrangement of the Licensee’s services requiring payment.

5.6. The Licensee may not use the Program to arrange mass e-mailing on the Licensee’s behalf or under its direction or permission (including e-mailing to an indefinite range of e-mail addresses, e-mailing with automatically chosen set of e-mail addresses, e-mailing to an unusually large number of addresses and other cases which the Rightholder may, at its own discretion, identify as a mass e-mailing).

5.7. The Licensee shall be independently liable for providing access to the Program’s functionality to third parties, including for providing access to the Address Users’ Accounts in the Licensee’s Domain, for providing access to the Users to Organization, as well as to disk space in the Yandex.Disk service to third parties. The Licensee shall be liable for any actions of any third parties to which the Licensee has provided access to the Program under this License. The Licensee shall bear full liability for familiarization of such third parties with this License and the documents stipulated by clause 1.4 of this License as well as all risks related to non-familiarization or late familiarization of such third parties with the said documents, and costs caused by such non-familiarization or late familiarization. Any use of the Program with regard to the Addresses in the Licensee’s Domain shall be considered as performed by the Licensee. The Licensee warrants that its actions of providing access to the Program to third parties do not violate the legislation, this License, the documents stipulated by clause 1.4 of this License, or the third parties’ rights.

5.8. The Licensee warrants that it legally owns the Licensee’s Domain as well as trademarks and other design elements allowed for use in accordance with the Program’s functionality in the version of Yandex.Mail for the Licensee’s Domain.

5.9. Except for the personalization features provided within the Program’s and/or Yandex.Mail’s, Yandex.Disk’s, Wiki’s, Tracker’s, Yandex.Overload’s or Yandex.Forms’ functionality, the Rightholder independently determines the appearance and functionality of Yandex.Mail, Yandex.Disk, Wiki, Tracker, Yandex.Overload and Yandex.Forms’ including their versions designed for the Licensee, and may independently decide on placement of advertising materials on the pages of Yandex.Mail, Yandex.Disk, Wiki, Tracker, Yandex.Overload, Yandex.Forms’ and other Rightholder’s services, and the formats of such placement.

5.10. By using the Program, the Licensee grants the Rightholder the right to use the Licensee’s logotype, trade mark and/or trade name and/or the Licensee’s website for information, advertising and promotional purposes related to the Program and/or Yandex.Mail, and/or Wiki, and/or Tracker, and/or Yandex.Overload and/or Yandex.Forms without need for any additional approval of the Licensee and without payment of any remuneration to it for such use.

5.11. The Rightholder reserves the right to set any limits and restrictions, including but not limited to: on the number of the Licensee’s Domains and/or Addresses available for use through the Program, the amount of the Users available to get the access to the Organization, the amount of disk space assigned to the Address Users, maximum content volume available for placement in Wiki, maximum number of tickets available in Tracker, and may amend them at its own discretion and without any prior notice to the Licensee.

5.12. When the Licensee uses the Yandex.Overload service of the Rightholder, overload.yandex.net service address shall be used. When the Licensee creates each page for placement of information by the Address User and/or the User in Yandex.Overload service, a separate page is opened, the address of which shall be assigned in *.overload.yandex.net service address area, upon agreement with the Licensee.

5.13. If the Rightholder has access to such data at the time the respondent completes the Form, the Rightholder may transfer to the person that created the Form, including the Licensee, the Address User or the User, the following data of the Form respondent, specified by the latter in his/her account in Yandex ID: login, last name, first name and patronymic, gender, date of birth, e-mail address and phone number, as well as the IP address and the browser data of the Form respondent. The Licensee, the Address Users and the Users are required to process such data in compliance with applicable personal data laws.

5.14. The Rightholder may at any time, at its sole discretion, without any notice to the Licensee and without giving any reason, change, reset, block, remove or perform any other actions with regard to any Account upon the request of the Address User of the respective Account. The Licensee may commit itself to perform the foregoing actions with the Accounts on its own, by using the technical tools provided by the Rightholder, in which case the Rightholder shall not perform the foregoing actions with the Accounts and shall not reply to corresponding requests of the Accounts Address Users, and the Licensee shall provide the Rightholder with valid Licensee’s contact details, to which such requests may be redirected.

5.15. Notwithstanding and in addition to the provisions of clause 5.14 of this License, the Rightholder has the right, at its sole discretion, without any notice to the Licensee and without giving any reasons, at any time to block or delete any Address User’s Account as well as to disconnect any Licensee’s Domain from the service, or to disconnect any User from the Organization, or to perform at its discretion any other action with regard to any Address User's Account or any Licensee’s Domain in full with the purpose of compliance with the legislation or third parties’ rights and legal interests.

5.16. The Rightholder reserves the right, at its sole discretion, to limit or completely block the Licensee's access to the Program (or, if technically possible, to certain features of the Program) in case of repeated violation of this License, or to apply other measures to the Licensee with the purpose of compliance with the legislation or third parties’ rights and legal interest, inter alia, to terminate the connection of any Licensee’s Domain to the Program and to prohibit the Licensee from connecting any other domains to the Program.

6. Amendments to this License

6.1. This License may be unilaterally amended by the Rightholder. Licensee, Address User and User notification of amendments to the terms and conditions of this License is posted at: https://yandex.com/legal/сonnect_software_agreement . The said amendments to the terms and conditions of the License shall come into effect from the date of their publication, unless otherwise specified in the relevant publication.
